Terms of Service

These Terms of Service ("Terms") govern your use of the AI Ready — Catalog IQ application ("the App") provided by Stats Marketing LLC ("we", "us", "our"). By installing or using the App, you ("merchant", "you") agree to these Terms.

1. Service description

The App audits your Shopify product catalog for signals relevant to AI shopping agents and provides AI-powered improvements to product descriptions, metafields, and image alt text. Specific features vary by subscription plan.

2. Account and eligibility

To use the App, you must have an active Shopify store and be authorized to install apps on it. You are responsible for maintaining the security of your Shopify admin credentials and for all actions taken through the App.

3. Subscription and billing

• All subscription plans are billed through Shopify's billing system on a recurring monthly basis.
• A 14-day free trial is available to new installations with limited AI credits.
• Fees are disclosed in the App's pricing page and at the time of plan selection.
• Plan changes take effect immediately and are prorated per Shopify's billing rules.
• You may cancel at any time by uninstalling the App from your Shopify admin.
• Fees paid are non-refundable except where required by law.

4. AI credits and usage limits

Each subscription plan includes a monthly allotment of AI credits. One credit is consumed per AI action (description rewrite, metafield populate, alt text generation). Credits reset monthly and do not roll over to the next billing period. Once credits are exhausted, AI actions are paused until the next reset or until you upgrade to a higher plan.

The Plus plan includes unlimited AI credits subject to fair use; we may rate-limit excessive or automated usage that degrades service for other merchants.

5. Data ownership and AI-generated content

• You retain full ownership of your product catalog data, including AI-generated descriptions, metafields, and alt text that we produce at your request.
• You are responsible for reviewing AI-generated content before or after it is published to your store, and for ensuring it is accurate and suitable for your business.
• AI-generated content is produced on a best-effort basis and may contain inaccuracies. We are not liable for the quality, accuracy, or consequences of AI-generated content.

6. Acceptable use

You agree not to:

• Use the App for any unlawful purpose or in violation of Shopify's Acceptable Use Policy
• Attempt to reverse-engineer, decompile, or circumvent the App's rate limits or security controls
• Share account credentials or allow unauthorized access to the App
• Use the App to generate content that is fraudulent, misleading, defamatory, infringing, or harmful
• Abuse the service in ways that degrade performance for other merchants

7. Third-party services

The App integrates with Shopify and uses Anthropic's Claude AI service. Your use of the App is also subject to Shopify's and Anthropic's respective terms of service and acceptable use policies. We are not responsible for outages, changes, or policy updates by these third parties.

8. Service availability and support

We strive to provide reliable service but do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages (including Shopify and Anthropic), and unforeseen technical issues may cause temporary service interruptions. We are not liable for such interruptions.

Support is provided via email at todd@stats.marketing. Plus plan subscribers receive same-day email response on business days.

9. Changes to the App

We may add, modify, or remove features of the App at any time. Material changes that affect pricing or core functionality will be communicated in advance where reasonably possible.

10. Warranty disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that AI-generated content will be accurate, complete, or suitable for your business.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATS MARKETING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE APP.

Our total liability for any claim arising out of or relating to these Terms or the App is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or USD $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Stats Marketing LLC and its officers, employees, and affiliates from any claims, damages, or expenses arising out of your misuse of the App, violation of these Terms, or violation of any rights of a third party.

13. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling the App. We may terminate or suspend your access for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination, your access ends immediately; data retention follows our Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Stats Marketing LLC is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms or the App shall be resolved in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
